Ownership of Site; Agreement to Terms of Use

These Terms and Conditions of Use (the "Terms of Use") apply to the MyEventAlly / MEA+ website and all associated mobile and web applications (collectively, the "Site"). The Site is the property of Stratagem 98 LLC ("MyEventAlly / MEA+") and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

MyEventAlly / MEA+ reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, MyEventAlly / MEA+ grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Content

All text, graphics, interfaces, photographs, trademarks, logos, artwork, and code (collectively, "Content") including the design, layout, look and feel, and arrangement is owned, controlled, or licensed by or to MyEventAlly / MEA+, and is protected by intellectual property laws.

Except as expressly provided in these Terms of Use, no part of the Site or its Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way without MyEventAlly / MEA+'s express prior written consent.

You may use MyEventAlly / MEA+ information purposely made available by the Company for downloading from the Site, provided that: (1) you do not remove any proprietary notices, (2) use the information only for personal, non-commercial use, (3) make no modifications to any such information, and (4) do not make additional representations or warranties.

Your Use of the Site

You may not use any automated device or manual process to access or monitor any portion of the Site or its Content, nor attempt to gain unauthorized access to any portion of the Site. You agree not to interfere with the Site's operation or any transaction being conducted or to attempt to gain unauthorized access to any part of the Site or any systems connected to it. You may not use the Site for any unlawful or prohibited purpose.

Purchases; Other Terms and Conditions

Additional terms may apply to purchases or certain site features. In the event of a conflict between these Terms and additional terms, the additional terms govern.

MyEventAlly / MEA+ may modify products, services, or pricing at any time without notice. Any materials on the Site may be outdated and MyEventAlly / MEA+ is not obligated to update such materials.

Accounts, Passwords and Security

Certain features may require account registration. You are responsible for maintaining the confidentiality of your credentials and all activities under your account. MyEventAlly / MEA+ is not liable for loss or damage arising from your failure to comply with these obligations.

Privacy

The MyEventAlly / MEA+ Privacy Policy governs use of the Site and is incorporated into these Terms by this reference. You acknowledge that Internet transmissions may be intercepted and are not completely secure.

Links to Other Sites

This Site may contain links to third-party websites. MyEventAlly / MEA+ is not responsible for and does not endorse the content of such Linked Sites. You assume all risk by accessing them.

Disclaimers

MyEventAlly / MEA+ does not guarantee the Site or Content will be error-free, uninterrupted, or that defects will be corrected. The Site and its Content are provided "as is" and "as available". MyEventAlly / MEA+ disclaims all warranties, express or implied, and all liability for third-party conduct related to your use of the Site.

Limitation of Liability

Except where prohibited, MyEventAlly / MEA+ shall not be liable for indirect, incidental, or consequential damages, even if advised of the possibility. In no event shall MyEventAlly / MEA+'s total liability exceed the greater of fees paid in the six months prior to claim or $100.

Indemnity

You agree to indemnify MyEventAlly / MEA+ from any loss or claim arising from your use of the Site or violation of these Terms.

Violation of These Terms of Use

MyEventAlly / MEA+ reserves the right to disclose any information it deems necessary to comply with law or protect its rights. You consent to MyEventAlly / MEA+ pursuing equitable relief if you breach these Terms.

Governing Law; Dispute Resolution

These Terms are governed by the laws of Indiana, USA. Disputes will be resolved by mediation and, if unresolved, may proceed to litigation in Indiana. Claims must be brought within one year.

Void Where Prohibited

Use of the Site outside of approved jurisdictions is at your own risk. MyEventAlly / MEA+ may restrict access to certain features or services in some locations.

Miscellaneous

If any provision of these Terms is held unenforceable, it will be modified to reflect the parties' intention. These Terms constitute the entire agreement between you and MyEventAlly / MEA+ regarding use of the Site.

Feedback and Information

Any feedback you provide is deemed non-confidential, and MyEventAlly / MEA+ is free to use such information without restriction.
